1. Definitions

- Affiliate or IB (Introducing Broker): A natural or legal person who refers clients to Binvank™ in exchange for a previously agreed compensation or commission.

- Referred Client: An end user who has joined the Platform as a direct result of the actions of the IB or Affiliate.

- Commission: Compensation established based on the trading volume, client activity, or other criteria defined by Binvank™.
2. Purpose of the Agreement
These Terms govern the relationship between Binvank™ and the Affiliate, establishing the framework for collaboration, remuneration, and responsibilities applicable to client referral activity.
3. Requirements and Registration
To be accepted as an IB or Affiliate, the applicant must:

- Explicitly accept these Terms.

- Complete the relevant registration form.

- Comply with KYC/AML verification requirements.
Binvank™ reserves the right to reject or cancel registrations without prior justification.
4. Permitted Commercial Activity
The IB agrees to:

- Promote Binvank™ services ethically and legally.

- Avoid any deceptive practices, guaranteed performance promises, or misleading information.

- Use only promotional materials authorized by Binvank™.
-
- Comply with the applicable laws of their local jurisdiction regarding marketing, consumer protection, and digital communications.
5. Prohibitions
The IB may not:

- Offer financial services on behalf of Binvank™.

- Use their relationship with Binvank™ to raise funds, manage accounts, or provide financial advice.

- Register clients without their consent.
-
- Falsely represent their connection with the Platform or their ability to influence commercial, regulatory, or support decisions.
6. Compensation and Commission Structure
Commissions will be determined by Binvank™ and may be based on:

- Trading volume generated by the referred client.

- Client retention or achievement of specific KPIs.
Binvank™ reserves the right to modify the commission structure with reasonable prior notice. Commissions are subject to internal audit and compliance review.
7. Payments and Conditions

- Commissions will be paid in the currency and frequency established in the affiliate panel.

- Binvank™ may withhold commissions if fraud, manipulation, or fictitious referrals are suspected.

- All payments are subject to verification of legitimate referral activity.
8. Intellectual Property
All content, trademarks, logos, and designs associated with Binvank™ are the exclusive property of the Platform. Authorized use by IBs is limited to promotional purposes and does not imply any transfer of rights.
9. Duration and Termination
This agreement is of indefinite duration and may be terminated by either party at any time, without justification, by written notice. In the event of a serious breach, Binvank™ may immediately terminate access and withhold pending commissions.
10. IB Responsibility
The IB acts as an independent contractor and assumes full responsibility for:

- The legal compliance of their promotional activities.

- The accuracy of the information shared with referrals.

- The consequences of improper, illegal, or unethical practices.
11. Confidentiality
The IB agrees not to disclose any sensitive, technical, or commercial information related to Binvank™, unless expressly authorized. This obligation shall remain in effect even after the termination of the commercial relationship.
12. Modification of Terms
Binvank™ may unilaterally modify these Terms. The current version will be available at binvank.com and acceptance will be required to continue affiliate activity.
13. Limitation of Liability
Binvank™ shall not be liable for direct, indirect, contractual, or extra-contractual losses arising from the IB’s activities. The Affiliate expressly releases Binvank™ from any third-party claims resulting from their conduct.
14. Acceptance
By participating in the IB and Affiliate program, the User declares that they have read, understood, and agree to fully comply with these Terms.
